Engram Terms of Service
1. Introduction
These Terms of Service (the “Terms”) form a binding agreement between you, or the organisation you represent (“you”, “your”, “Customer”), and NGIS PTE LTD (UEN 202403437E), a private limited company incorporated in Singapore (the “Company”, “we”, “us”, “our”), in relation to your access to and use of the Engram pre-launch website at https://joinengram.com (the “Site”).
By accessing the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
2. Eligibility and authority
You may use the Site only if you are at least 18 years old and have the authority to act on behalf of the organisation for which you are acting. If you are submitting a waitlist or founding-customer application on behalf of an organisation, that organisation is the Customer under these Terms and you represent that you are authorised to act for it.
The Site is intended for business use only. By accessing the Site, you represent that you are using it in the course of business and not as a consumer within the meaning of the Singapore Consumer Protection (Fair Trading) Act (Cap. 52A) or the Singapore Sale of Goods Act (Cap. 393). The Site is not offered to natural persons acting outside their trade or profession.
3. The Site
The Site provides:
- Information about Engram, NGIS PTE LTD, and the cognitive substrate the Company is building
- A waitlist sign-up form
- A founding-customer programme application channel
- A contact form
- A Frequently Asked Questions section
These are, collectively, the “Service” under these Terms.
Nothing on the Site constitutes an offer to sell, licence, or supply the Engram product or any other NGIS product. Information about Engram features, timeline, pricing, integrations, or availability is indicative only and may change without notice prior to commercial general availability. Such information does not constitute a warranty, a representation as to future performance, or a contractual commitment.
Commercial use of Engram (when generally available) will be subject to a separate written agreement signed by both parties. Pilot participation will be subject to a separate Pilot Customer Agreement.
4. Waitlist participation and the founding-customer programme
4.1 Expression of interest, not a contract
Joining the waitlist or submitting a founding-customer application is an expression of interest, not a contract. We make no commitment to offer access to Engram, a pilot slot, founding pricing, or any other product, service, or commercial term to any waitlist member or applicant. We reserve the right, in our sole discretion, to accept or decline any application, to prioritise applications, or to close the waitlist at any time, without notice and without liability.
4.2 Marketing consent
Submission of contact information for marketing communications constitutes your consent under the Singapore Personal Data Protection Act 2012 and the Singapore Spam Control Act 2007 (Cap. 311A) to receive electronic messages from us relating to Engram and the founding-customer programme. You may withdraw this consent at any time by emailing info@ng-is.com or using the unsubscribe mechanism in any message we send you. Withdrawal will not affect the lawfulness of communications sent before the withdrawal.
4.3 Forward-looking statements
Founding pricing, pilot pathway terms, the H1 2027 commercial-general-availability target, integration roadmaps, and any other forward-looking statement referenced in our communications are illustrative and non-binding until they are set out in a written pilot agreement or written commercial agreement signed by both parties. We may revise such information at any time.
5. Acceptable use
You must not use the Site to:
- Attempt unauthorised access to any part of the Site or to our systems
- Scrape, harvest, or otherwise extract content from the Site for purposes outside personal, non-commercial reference
- Interfere with or disrupt the integrity or performance of the Site, including by transmitting malware, automated requests at abnormal volume, or invalid input
- Probe, scan, or test the vulnerability of the Site or any related system without our prior written consent
- Submit false, misleading, or fraudulent information, or impersonate any person or organisation
- Use the Site to send unsolicited bulk communications, spam, or unlawful content
- Use the Site in any manner that violates applicable law or infringes the rights of any third party
Unauthorised access, interference, or scraping of the Site may also constitute an offence under the Singapore Computer Misuse and Cybersecurity Act (Cap. 50A).
6. Intellectual property
6.1 Our property
The Site and all of its content — including text, graphics, logos, icons, design, source code, and software — are owned by or licensed to NGIS PTE LTD. All rights are reserved. You may not reproduce, distribute, modify, publicly perform, publicly display, or create derivative works from the Site or its content except for personal, non-commercial reference, unless you have our prior written consent.
6.2 The Engram name and trade marks
“Engram”, the Engram logo, “NGIS”, and related names and marks are trade marks of NGIS PTE LTD. These Terms do not grant you any right to use those marks.
6.3 Open-source software
Open-source software made available by NGIS (including the Engram Community Edition, when released) is governed solely by the terms of its applicable open-source licence (for example, the Apache License 2.0). Nothing in these Terms grants or limits any right under those licences. To the extent any provision of these Terms conflicts with an applicable open-source licence in respect of software released under that licence, the open-source licence prevails for that software.
7. Disclaimers and pre-launch nature
7.1 As-is provision
The Site is provided “as is” and “as available”. To the maximum extent permitted by applicable law, we disclaim all warranties, express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted availability.
7.2 Pre-launch information
The Engram product is currently pre-general-availability. Commercial general availability is targeted for H1 2027 and may change. All information on the Site about features, timeline, pricing, integrations, certifications, or availability is forward-looking and subject to change without notice. We do not warrant that any future product, feature, integration, certification, or pricing will match the information shown on the Site at the time you view it.
8. Limitation of liability
To the maximum extent permitted by Singapore law:
8.1 Excluded losses
We are not liable for any indirect, special, incidental, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or in connection with your access to or use of the Site, even if we have been advised of the possibility of such damages.
8.2 Cap on aggregate liability
Our total aggregate liability to you arising out of or in connection with your access to or use of the Site, whether in contract, tort (including negligence), under statute, or otherwise, will not exceed the greater of (a) SGD 100, or (b) the amount actually recoverable under our then-current liability insurance for the relevant claim.
8.3 Reasonableness
This limitation reflects the no-fee nature of the Site, the absence of any commercial relationship arising from a waitlist sign-up, and the parties’ allocation of risk in a pre-launch business-to-business context. We consider this limitation reasonable under Section 11 of the Singapore Unfair Contract Terms Act (Cap. 396) read with the Second Schedule to that Act.
8.4 Carve-outs
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Singapore law, including liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other matter for which exclusion or limitation of liability is prohibited by law.
9. Governing law and dispute resolution
9.1 Governing law
These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the laws of Singapore.
9.2 Jurisdiction
The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site. The parties may agree separately in writing to refer a specific dispute to arbitration under the Singapore International Arbitration Centre (SIAC) rules; without such a written agreement, SIAC arbitration does not apply.
10. Pre-launch nature and Pilot pathway
The Engram product is currently pre-general-availability. Commercial general availability is targeted for H1 2027 and may change without notice.
Pilot participation, where offered prior to general availability, is subject to a separate Pilot Customer Agreement to be executed in writing between you and us before any access to a pre-release version of the Engram product is granted. These Terms do not govern pilot participation, pilot pricing, support obligations, service-level commitments, or any other right granted or obligation owed under a Pilot Customer Agreement.
Nothing on the Site, including any reference to founding pricing, pilot terms, integration roadmaps, or compliance certifications, gives rise to any binding obligation on us in the absence of such a Pilot Customer Agreement or, for general availability, a written commercial agreement signed by both parties.
11. Changes to these Terms
11.1 Right to update
We may update these Terms from time to time. When we make a material change, we will update the version number and effective date at the top of this document and, where you have provided an email address to us, notify you by email at least 30 days before the change takes effect (unless the change is required immediately by law).
11.2 Acceptance by continued use
Continued use of the Site after the effective date of an update means that you accept the updated Terms. If you do not accept the updated Terms, you must stop using the Site.
11.3 Electronic communications
By using the Site and providing an email address to us, you acknowledge that all notices, modifications, and communications provided to you electronically (including via the email address you provide) satisfy any legal requirement for written communication under the Singapore Electronic Transactions Act (Cap. 88).
